Objectivos
Learning Objectives: • LO1: Understanding the concept and principles of Corporate Governance - Knowledge of the concept, the evolution of its definition, the underlying theoretical framework, and its principles and best practices, including structures, roles, and responsibilities of stakeholders such as the board, shareholders, and society. • LO2: Comprehension of the evolution of the concept and the legal environment - Understanding the development of the concept in conjunction with the evolution of theoretical frameworks and the purpose of companies. Awareness of the legal framework and the evolution of codes of conduct and best practices. • LO3: Analytical skills - Ability to analyze and assess the impact of Corporate Governance on company performance and value creation. • LO4: The concept of social responsibility - Understanding the impact of social responsibility on the company and its stakeholders. Competencies: • Critical analysis and ability to use quantitative and qualitative information to support decisions, with respect for social responsibility, stakeholders and the creation of value for the company. . Ethical Leadership, with integrity and respect for the company's purpose, taking into account all interested parties.
Programa
Session 1: Presentation of the concept of Corporate Governance • Definition of Corporate Governance • Evolution of the concept of Corporate Governance • Underlying theories • Best practices of Corporate Governance Session 2: The Role of the Board of Directors and control mechanisms • Internal mechanisms of Corporate Governance: - Composition and role of the Board of Directors and other Management Bodies - Main responsibilities, duties and roles of the board - The role of diversity in the Board of Directors - The role of stakeholders and capital structure, special cases of capital concentration: institutional investors, Families and State. Session 3: External Control Mechanisms • External mechanisms - Corporate Governance Codes and their evolution around the world - the new concept and purpose of the company - the role of Regulation • Shareholder rights and responsibilities - Activism: benefits and challenges - Internal and external lines of defense and protection of investors - Control of managers and alignment of interests Session 4: Corporate Governance and Value Creation • Relationship between Corporate Governance, performance and value creation • Present the students with the empirical evidence on some verifiable firm outcomes: performance, earnings management and innovation; Session 5: Social Responsibility, Ethics, ESG and Value Creation • Distinction between Social Responsibility, Ethics, ESG and Sustainability • Ethical Leadership, with integrity and respect for the company's purpose, taking into account all stakeholders. • Relationship between Social Responsibility and value creation • ESG: the new taxonomy, challenges and future
Método de Avaliação
Teaching Methodologies • Theoretical-practical classes: Provide fundamental knowledge about corporate governance theories and encourage debate and discussion of topics. • Group work: Encourage collaboration and practical application of the concepts learned. • Guest talks: Invite experts from outside academia to share insights and the applicability of the concepts covered in the course. • Classroom discussions: Promote critical engagement and improve communication and presentation skills. Assessment: • Group Project (40%): Evaluation of governance structures in a selected organization, culminating in a presentation. • Participation and Discussions (10%): Active engagement in class discussions and peer feedback. • Final Exam (50%): Comprehensive assessment of the entire course content.
